この利用規約(以下「本規約」といいます。)は、WANUIが運営するウェブサイトおよびオンラインストアの利用条件を定めるものです。

第1条(適用)

1. 本規約は、WANUIの名称で事業を運営し、「特定商取引法に基づく表記」に販売事業者として記載される者(以下「当社」といいます。)が運営するウェブサイト、オンラインストアその他これらに付随するサービス(以下、総称して「本サービス」といいます。)の利用に適用されます。

2. 利用者は、本サービスを利用し、または商品を注文することにより、本規約、返品・交換ポリシー、プライバシーポリシー、特定商取引法に基づく表記、商品ページに記載された条件その他当社が提示する個別条件に同意したものとみなされます。

3. 本規約と個別の商品ページ、キャンペーン条件その他個別条件の内容が異なる場合は、当該個別条件が優先します。返品、交換、返金および注文キャンセルについては、返品・交換ポリシーが本規約に優先して適用されます。

第2条(定義)

1. 「利用者」とは、本サービスを閲覧または利用するすべての方をいいます。

2. 「購入者」とは、本サービスを通じて商品を注文する方をいいます。

3. 「商品」とは、本サービスを通じて当社が販売する工芸品、作品、付属品その他の商品をいいます。

4. 「職人・工房」とは、商品の制作、提供、商品情報の提供、梱包および発送等に協力する製造者または商品提供者をいいます。商品ページ等に別段の明示がある場合を除き、購入者との売買契約の販売者は当社であり、職人・工房は当該売買契約の販売者ではありません。

5. 「個別条件」とは、商品ページ、注文画面、キャンペーンページ、電子メールその他当社が個別の取引について提示する条件をいいます。

第3条(利用条件および登録情報)

1. 利用者は、法令、本規約および当社の案内に従って本サービスを利用するものとします。

2. 会員登録または注文時に情報を入力する場合、利用者は真実、正確かつ最新の情報を提供しなければなりません。

3. 利用者は、アカウント、パスワードおよび登録メールアドレスを自己の責任で管理し、第三者に利用させてはなりません。これらを用いて行われた行為は、当社に故意または重過失がある場合を除き、当該利用者による行為として取り扱います。

4. 未成年者が商品を注文する場合は、法定代理人の同意を得なければなりません。

第4条(注文および売買契約の成立)

1. 購入者が注文内容、商品代金、送料、税金、支払方法、配送先、納期の目安、返品条件その他最終確認画面に表示される事項を確認し、注文を確定する操作を行った時点で、購入者から当社に対する購入の申込みが行われます。

2. 売買契約は、当社が注文を承諾する旨の電子メールを購入者へ送信した時点で成立します。システムから自動送信される受付通知は、注文を受け付けた事実をお知らせするものにすぎず、当社による承諾を意味しません。

3. 当社は、在庫切れ、受注条件の不一致、決済の不承認、配送不能、法令または輸出入規制上の問題、表示価格の明白な誤り、不正利用のおそれその他合理的な理由がある場合、注文を承諾せず、または成立後の契約を解除することがあります。この場合、受領済みの代金があるときは、合理的な期間内に返金します。

4. 受注生産品、一点物、再制作が困難な商品その他特別な条件がある商品については、商品ページに記載された条件が適用されます。

第5条(価格、税金および支払方法)

1. 商品の販売価格、消費税その他の税、送料、追加補償料、ギフト包装料その他購入者が負担する金額は、商品ページまたは注文の最終確認画面に表示します。

2. 日本国内向けの価格は、別段の表示がない限り消費税を含みます。海外配送の場合、輸入関税、輸入消費税、通関手数料その他配送先国または地域で発生する費用は、別段の表示がない限り購入者の負担となります。

3. 支払方法および支払時期は、特定商取引法に基づく表記および注文画面に表示される内容に従います。決済には、当社が指定する第三者の決済サービスが利用される場合があります。

4. 表示価格に明白な誤りがあった場合、当社は購入者へ連絡の上、正しい価格での購入意思を確認し、または注文を取り消すことができます。

第6条(商品の性質および表示)

1. 商品には、手作業、天然素材、伝統技法または少量生産に起因する色、形、寸法、木目、模様、気泡、濃淡、風合いその他の個体差が生じることがあります。商品ページで説明された範囲内の個体差は、商品の特性であり、通常は不良に該当しません。

2. ディスプレイ、撮影環境および照明等の影響により、画面上の色や質感と実物が完全には一致しない場合があります。

3. 当社は、職人・工房から提供された情報を確認し、必要に応じて編集または翻訳して商品ページに掲載します。重要な誤表示、説明と著しく異なる商品、通常の使用に支障を及ぼす欠陥等がある場合は、返品・交換ポリシーに従って対応します。

4. 購入者は、商品ページに記載された素材、寸法、使用上の注意、お手入れ方法、電子レンジ・食器洗浄機への対応その他の情報を確認した上で注文するものとします。

第7条(送料および配送)

1. 送料は原則として購入者の負担とします。ただし、1回の注文における税込の商品販売価格の合計額が20,000円以上の場合は、購入者に対する送料を無料とします。

2. 商品は、職人・工房から購入者へ直接発送される場合があります。複数の職人・工房の商品を同時に注文した場合、商品が別々に発送され、到着日が異なることがあります。

3. 発送時期および納期の目安は商品ページに表示します。受注生産、材料の調達、制作工程、天候、災害、配送事情、通関その他の事情により遅延する場合があります。当社は、遅延が判明した場合、合理的な範囲で購入者へ連絡します。

4. 配送先情報の誤り、不在、受取拒否、保管期間経過、輸入手続未完了その他購入者側の事情により再配送または返送が必要となった場合、購入者に追加費用をご負担いただくことがあります。

5. 配送地域、配送方法および配送業者は、商品の性質、価格、破損リスク、配送先その他の事情に応じて当社が指定または承認します。

第8条(商品の受領および確認)

1. 購入者は、商品到着後、速やかに商品の種類、数量、外観、付属品および配送中の破損の有無を確認してください。

2. 商品違い、数量不足、初期不良または配送中の破損を確認した場合は、返品・交換ポリシーに定める期間内に、注文番号、商品の状態が分かる写真、梱包材および配送伝票の写真その他当社が求める情報を添えて当社へ連絡してください。

3. 配送事故の確認が完了するまで、商品、内箱、外箱、緩衝材、配送伝票および付属品を廃棄しないでください。

第9条(注文の変更、キャンセル、返品および交換)

1. 注文の変更またはキャンセル、商品の返品、交換および返金は、返品・交換ポリシーおよび個別条件に従います。

2. 通信販売には、訪問販売等に適用されるクーリング・オフ制度は適用されません。

3. 職人・工房へ直接返品し、または当社の案内と異なる住所へ商品を返送した場合、返品を受け付けられず、または追加費用が発生することがあります。必ず事前に当社へ連絡してください。

第10条(顧客対応および職人・工房との連携)

1. 注文、決済、配送、返品、交換、修理、返金、苦情その他購入者への対応窓口は、原則として当社とします。

2. 商品の素材、製法、修理可否、再制作、保管方法その他専門的判断が必要な場合、当社は職人・工房と連携して対応します。

3. 職人・工房から商品が直接発送される場合でも、購入者は、当社から案内がある場合を除き、注文や返品等に関して職人・工房へ直接連絡する必要はありません。

第11条(個人情報)

1. 当社は、利用者の個人情報を、当社のプライバシーポリシーおよび適用法令に従って取り扱います。

2. 当社は、商品の発送、配送確認、修理、交換その他注文履行に必要な範囲で、購入者の氏名、住所、電話番号その他必要な情報を職人・工房、配送業者、決済事業者その他の委託先へ提供することがあります。

3. 職人・工房には、提供された個人情報を発送等の必要な目的に限って使用し、適切に管理することを求めます。

第12条(禁止事項)

利用者は、次の各号に該当する行為を行ってはなりません。

• 法令、公序良俗または本規約に違反する行為

• 虚偽情報の登録、第三者へのなりすまし、不正決済、転売目的を隠した大量注文その他不正または不適切な注文

• 当社、職人・工房、他の利用者または第三者の権利、信用、名誉、プライバシーまたは知的財産権を侵害する行為

• 本サービスのシステム、ネットワークまたは運営を妨害し、過度な負荷を与え、または不正アクセスを試みる行為

• 商品画像、文章、動画、ロゴ、デザイン、データ等を、私的利用の範囲を超えて無断で複製、転載、販売、加工または利用する行為

• その他、当社が本サービスの運営上不適切と合理的に判断する行為

第13条(知的財産権)

1. 本サービスに掲載される文章、写真、動画、ロゴ、商標、デザイン、編集物その他のコンテンツに関する権利は、当社、職人・工房または正当な権利者に帰属します。

2. 本規約は、利用者に対し、これらの権利を譲渡または許諾するものではありません。法令上認められる場合を除き、権利者の事前の承諾なく利用することはできません。

第14条(レビューその他投稿内容)

1. 利用者がレビュー、コメント、画像その他の内容を投稿できる場合、利用者は、当該内容について必要な権利を有し、第三者の権利を侵害しないことを保証するものとします。

2. 利用者は、当社に対し、本サービスの運営、販売促進および品質改善に必要な範囲で、投稿内容を無償で利用、編集、翻訳および掲載する非独占的な権利を許諾します。

3. 当社は、法令違反、権利侵害、虚偽、誹謗中傷、個人情報の掲載、広告目的その他不適切な内容を、事前の通知なく非掲載または削除することができます。

第15条(本サービスの変更、中断および終了)

1. 当社は、保守、セキュリティ対応、システム障害、災害、通信障害、決済障害、法令対応その他合理的な理由により、本サービスの全部または一部を変更、中断または終了することがあります。

2. 当社は、既に成立した売買契約については、本規約、個別条件および法令に従って対応します。

第16条(保証の範囲)

1. 当社は、本サービスに掲載する情報の正確性および最新性の確保に努めますが、本サービスが常に中断なく提供されること、すべての表示が完全に誤りなく更新されること、または利用者の特定の目的に適合することを保証するものではありません。

2. 前項は、当社が販売者として負う商品の契約不適合、製造物責任その他法令上の責任を免除するものではありません。

第17条(損害賠償責任)

1. 当社の責めに帰すべき事由により利用者に損害が生じた場合、当社は、適用法令に従って責任を負います。

2. 当社の故意または重過失による場合、生命または身体への損害が生じた場合、その他法令上制限が認められない場合を除き、当社が負う損害賠償の範囲は、当該事由から通常かつ直接生じた損害に限り、その上限は当該損害に関連する注文について購入者が当社へ実際に支払った総額とします。

3. 当社は、利用者の登録情報または配送先情報の誤り、利用者の端末または通信環境、輸入規制、関税手続、受取拒否その他当社の責めに帰すことのできない事由によって生じた損害について、法令上責任を負う場合を除き責任を負いません。

第18条(反社会的勢力の排除)

1. 利用者は、自己が反社会的勢力に該当せず、反社会的勢力と関係を有せず、かつ本サービスを反社会的勢力の活動に利用しないことを表明し、保証するものとします。

2. 当社は、前項への違反が判明した場合、注文の取消し、契約の解除、利用停止その他必要な措置を講じることができます。

第19条(規約の変更)

1. 当社は、法令の変更、本サービスの内容変更、利用者の一般の利益への適合その他合理的な必要がある場合、法令に従い本規約を変更することができます。

2. 重要な変更を行う場合、当社は、変更内容および効力発生日を、本サービス上への掲載、電子メールその他適切な方法により事前に周知します。

3. 変更後の規約は、効力発生日以後に行われる本サービスの利用および注文に適用されます。既に成立した売買契約には、別段の合意がない限り、契約成立時の条件が適用されます。

第20条(通知および連絡)

1. 当社から利用者への通知は、本サービス上への掲載、登録メールアドレスへの送信その他当社が適切と判断する方法で行います。

2. 利用者が登録情報の変更を怠ったことにより通知を受領できなかった場合、通常到達すべき時に到達したものとして取り扱うことがあります。ただし、法令上認められない場合はこの限りではありません。

第21条(分離可能性および権利義務の譲渡)

1. 本規約の一部が法令により無効または執行不能と判断された場合でも、その他の部分は引き続き有効とします。

2. 利用者は、当社の事前の承諾なく、本規約または売買契約上の地位または権利義務を第三者に譲渡することはできません。

第22条(準拠法および管轄)

1. 本規約および当社と利用者との間の売買契約には、日本法を準拠法とします。

2. 本サービスまたは売買契約に関して紛争が生じた場合、当社と利用者は誠実に協議します。協議によって解決しない場合、法令上認められる範囲で、東京地方裁判所または東京簡易裁判所を第一審の専属的合意管轄裁判所とします。

第23条(言語)

1. 本規約について日本語版以外の翻訳を作成する場合、翻訳は利用者の便宜のために提供するものとします。日本語版と翻訳版の内容に相違がある場合、法令上認められる範囲で日本語版を優先します。

Terms of Service

These Terms of Service (the “Terms”) set out the conditions governing the use of the website and online store operated by WANUI.

Article 1 — Application

  1. These Terms apply to the use of the website, online store, and related services (collectively, the “Services”) operated by the entity conducting business under the name WANUI and identified as the seller in the “Disclosure under the Act on Specified Commercial Transactions” (the “Company”).

  2. By using the Services or ordering products, users are deemed to have agreed to these Terms, the Returns and Exchanges Policy, the Privacy Policy, the Disclosure under the Act on Specified Commercial Transactions, the conditions stated on product pages, and any other transaction-specific conditions presented by the Company.

  3. If these Terms differ from the conditions stated on an individual product page, promotional conditions, or other transaction-specific conditions, those specific conditions shall prevail. For returns, exchanges, refunds, and order cancellations, the Returns and Exchanges Policy shall take precedence over these Terms.

Article 2 — Definitions

  1. “User” means any person who browses or uses the Services.

  2. “Purchaser” means any person who orders products through the Services.

  3. “Products” means the craft products, works, accessories, and other goods sold by the Company through the Services.

  4. “Artisans and Workshops” means manufacturers or product suppliers who assist with making or supplying Products, providing product information, packaging, shipping, and related activities. Unless expressly stated otherwise on a product page or elsewhere, the Company is the seller under the sales contract with the Purchaser, and the Artisans and Workshops are not the sellers under that contract.

  5. “Specific Conditions” means the conditions presented by the Company for an individual transaction through product pages, checkout screens, promotional pages, emails, or other means.

Article 3 — Conditions of Use and Registration Information

  1. Users shall use the Services in accordance with applicable laws, these Terms, and the Company’s instructions.

  2. When providing information during account registration or when placing an order, Users must provide truthful, accurate, and up-to-date information.

  3. Users are responsible for managing their accounts, passwords, and registered email addresses and must not allow third parties to use them. Actions performed using these credentials shall be treated as actions of the relevant User, unless the Company has acted intentionally or with gross negligence.

  4. Minors must obtain the consent of their legal representative before ordering Products.

Article 4 — Orders and Formation of the Sales Contract

  1. A Purchaser makes an offer to purchase from the Company when the Purchaser reviews the order details, product price, shipping fees, taxes, payment method, delivery address, estimated delivery timing, return conditions, and other information displayed on the final order review screen, and takes the action required to submit the order.

  2. The sales contract is formed when the Company sends the Purchaser an email confirming acceptance of the order. An acknowledgement automatically sent by the system merely confirms receipt of the order and does not constitute acceptance by the Company.

  3. The Company may decline an order or terminate a contract after it has been formed where there are reasonable grounds, including a lack of stock, failure to meet ordering conditions, payment authorisation failure, inability to deliver, legal or import/export restrictions, an obvious pricing error, or suspected fraudulent use. If payment has already been received, the Company will refund it within a reasonable period.

  4. Products subject to special conditions, including made-to-order Products, one-of-a-kind Products, and Products that are difficult to reproduce, are subject to the conditions stated on the relevant product page.

Article 5 — Prices, Taxes, and Payment Methods

  1. Product prices, consumption tax and other taxes, shipping fees, additional coverage fees, gift-wrapping fees, and any other amounts payable by the Purchaser are displayed on the product page or the final order review screen.

  2. Unless otherwise stated, prices for deliveries within Japan include consumption tax. For international deliveries, import duties, import taxes, customs clearance fees, and other charges arising in the destination country or region are the Purchaser’s responsibility unless otherwise stated.

  3. Payment methods and payment timing are governed by the information displayed in the Disclosure under the Act on Specified Commercial Transactions and at checkout. Payments may be processed through third-party payment services designated by the Company.

  4. If a displayed price contains an obvious error, the Company may contact the Purchaser to confirm whether the Purchaser wishes to proceed at the correct price or may cancel the order.

Article 6 — Product Characteristics and Descriptions

  1. Products may exhibit variations in colour, shape, dimensions, wood grain, patterns, air bubbles, shading, texture, and other characteristics arising from handcrafting, natural materials, traditional techniques, or small-batch production. Variations within the range explained on the product page are characteristics of the Product and are generally not considered defects.

  2. Colours and textures shown on screen may not exactly match the actual Product due to differences in displays, photographic conditions, lighting, and other factors.

  3. The Company reviews information supplied by Artisans and Workshops and, where necessary, edits or translates it for publication on product pages. Significant inaccuracies in descriptions, Products that differ substantially from their descriptions, or defects that interfere with normal use will be handled in accordance with the Returns and Exchanges Policy.

  4. Before ordering, Purchasers shall review the information on the product page, including materials, dimensions, precautions for use, care instructions, microwave and dishwasher suitability, and other relevant information.

Article 7 — Shipping Fees and Delivery

  1. As a general rule, shipping fees are payable by the Purchaser. However, shipping to the Purchaser is free where the total price of the Products in a single order, inclusive of tax, is ¥20,000 or more.

  2. Products may be shipped directly to the Purchaser by Artisans and Workshops. If Products from multiple Artisans and Workshops are ordered together, they may be shipped separately and arrive on different dates.

  3. Estimated dispatch dates and delivery lead times are displayed on product pages. Delays may occur due to made-to-order production, material procurement, production processes, weather, disasters, shipping conditions, customs clearance, or other circumstances. If the Company becomes aware of a delay, it will notify the Purchaser to a reasonable extent.

  4. The Purchaser may be required to pay additional costs if redelivery or return shipping becomes necessary due to circumstances attributable to the Purchaser, including incorrect delivery information, absence, refusal to accept delivery, expiry of the carrier’s holding period, or incomplete import procedures.

  5. The Company designates or approves delivery regions, shipping methods, and carriers according to the nature and price of the Products, the risk of damage, the delivery destination, and other relevant circumstances.

Article 8 — Receipt and Inspection of Products

  1. Upon receiving Products, Purchasers should promptly check the product type, quantity, appearance, included accessories, and whether any damage occurred during transit.

  2. If a Purchaser identifies an incorrect Product, missing items, a defect on arrival, or damage in transit, the Purchaser should contact the Company within the period specified in the Returns and Exchanges Policy. The Purchaser should provide the order number, photographs showing the condition of the Product, photographs of the packaging and shipping label, and any other information requested by the Company.

  3. Do not discard the Product, inner or outer packaging, protective materials, shipping label, or accessories until the investigation of any shipping incident has been completed.

Article 9 — Order Changes, Cancellations, Returns, and Exchanges

  1. Order changes and cancellations, product returns, exchanges, and refunds are governed by the Returns and Exchanges Policy and the Specific Conditions.

  2. The statutory cooling-off system applicable to door-to-door sales and certain other transactions does not apply to online or mail-order sales.

  3. If Products are returned directly to an Artisan or Workshop, or to an address different from the one specified by the Company, the return may not be accepted or additional costs may arise. Always contact the Company before returning a Product.

Article 10 — Customer Service and Coordination with Artisans and Workshops

  1. As a general rule, the Company is the contact point for Purchasers regarding orders, payments, delivery, returns, exchanges, repairs, refunds, complaints, and other customer service matters.

  2. Where specialist judgement is required concerning materials, manufacturing methods, repair feasibility, reproduction, storage, or other matters, the Company will coordinate with the relevant Artisan or Workshop.

  3. Even where Products are shipped directly by an Artisan or Workshop, Purchasers do not need to contact the Artisan or Workshop directly about orders, returns, or related matters unless instructed to do so by the Company.

Article 11 — Personal Information

  1. The Company handles Users’ personal information in accordance with its Privacy Policy and applicable laws.

  2. To the extent necessary for shipping, delivery confirmation, repairs, exchanges, or other activities required to fulfil an order, the Company may provide the Purchaser’s name, address, telephone number, and other necessary information to Artisans and Workshops, carriers, payment providers, and other service providers engaged by the Company.

  3. The Company requires Artisans and Workshops to use the personal information provided to them only for necessary purposes, such as shipping, and to manage it appropriately.

Article 12 — Prohibited Conduct

Users must not engage in any of the following:

  • Conduct that violates applicable laws, public order and morals, or these Terms.

  • Registering false information, impersonating a third party, making fraudulent payments, placing bulk orders while concealing an intention to resell, or placing other fraudulent or inappropriate orders.

  • Infringing the rights, credibility, reputation, privacy, or intellectual property rights of the Company, Artisans and Workshops, other Users, or third parties.

  • Disrupting the systems, networks, or operation of the Services, placing an excessive load on them, or attempting unauthorised access.

  • Reproducing, republishing, selling, modifying, or using product images, text, videos, logos, designs, data, or other materials without permission beyond the scope of private use.

  • Any other conduct that the Company reasonably considers inappropriate for the operation of the Services.

Article 13 — Intellectual Property Rights

  1. Rights in the text, photographs, videos, logos, trademarks, designs, compilations, and other content published through the Services belong to the Company, the relevant Artisans and Workshops, or other lawful rights holders.

  2. These Terms do not transfer or license any such rights to Users. Except where permitted by law, Users may not use such content without the rights holder’s prior consent.

Article 14 — Reviews and Other Submitted Content

  1. Where Users may submit reviews, comments, images, or other content, they warrant that they hold the necessary rights to that content and that it does not infringe any third party’s rights.

  2. Users grant the Company a non-exclusive right to use, edit, translate, and publish their submitted content without payment, to the extent necessary for operating the Services, promoting sales, and improving quality.

  3. The Company may decline to publish or may remove content without prior notice where it violates the law, infringes rights, contains false statements or defamatory material, discloses personal information, serves advertising purposes, or is otherwise inappropriate.

Article 15 — Changes, Suspension, and Termination of the Services

  1. The Company may change, suspend, or terminate all or part of the Services for reasonable reasons, including maintenance, security measures, system failures, disasters, communication failures, payment processing failures, or compliance with legal requirements.

  2. Sales contracts that have already been formed will be handled in accordance with these Terms, the Specific Conditions, and applicable laws.

Article 16 — Scope of Warranties

  1. The Company strives to ensure that information published through the Services is accurate and up to date. However, it does not warrant that the Services will always be available without interruption, that all displayed information will be updated completely without error, or that the Services will meet a User’s particular purpose.

  2. The preceding paragraph does not exempt the Company from liability as the seller for Products that do not conform to the contract, product liability, or any other liability imposed by law.

Article 17 — Liability for Damages

  1. If a User suffers loss or damage due to a cause attributable to the Company, the Company shall be liable in accordance with applicable laws.

  2. Except where the Company has acted intentionally or with gross negligence, where loss or damage involves death or personal injury, or where a limitation is otherwise prohibited by law, the Company’s liability shall be limited to loss or damage ordinarily and directly arising from the relevant cause. The maximum amount of liability shall be the total amount actually paid by the Purchaser to the Company for the order related to that loss or damage.

  3. Except where liability is imposed by law, the Company shall not be liable for loss or damage arising from causes not attributable to the Company, including errors in a User’s registration or delivery information, the User’s device or communications environment, import restrictions, customs procedures, or refusal to accept delivery.

Article 18 — Exclusion of Antisocial Forces

  1. Users represent and warrant that they are not antisocial forces, have no association with antisocial forces, and will not use the Services for activities of antisocial forces.

  2. If the Company discovers a breach of the preceding paragraph, it may cancel orders, terminate contracts, suspend use of the Services, or take other necessary measures.

Article 19 — Amendments to the Terms

  1. The Company may amend these Terms in accordance with the law where reasonably necessary, including due to changes in laws or the Services, or where the amendments serve the general interests of Users.

  2. Where significant amendments are made, the Company will provide advance notice of the amendments and their effective date by publishing them through the Services, sending an email, or using another appropriate method.

  3. The amended Terms apply to use of the Services and orders placed on or after their effective date. Unless otherwise agreed, sales contracts already formed remain subject to the conditions in effect when the contract was formed.

Article 20 — Notices and Communications

  1. Notices from the Company to Users may be provided through publication on the Services, delivery to the registered email address, or another method the Company considers appropriate.

  2. If a User fails to receive a notice because the User has not updated their registration information, the notice may be treated as received at the time it would ordinarily have arrived. This does not apply where such treatment is prohibited by law.

Article 21 — Severability and Assignment

  1. If any part of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue to be valid.

  2. Users may not assign their contractual position, rights, or obligations under these Terms or a sales contract to a third party without the Company’s prior consent.

Article 22 — Governing Law and Jurisdiction

  1. These Terms and sales contracts between the Company and Users are governed by Japanese law.

  2. If a dispute arises concerning the Services or a sales contract, the Company and the User shall seek to resolve it through good-faith discussions. If the dispute cannot be resolved through discussions, the Tokyo District Court or the Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance, to the extent permitted by law.

Article 23 — Language

  1. Any translation of these Terms into a language other than Japanese is provided for Users’ convenience. If there is any discrepancy between the Japanese version and a translation, the Japanese version shall prevail to the extent permitted by law.
